General questions on incorporating and running a Sdn Bhd
To incorporate a Sdn Bhd, you need to be at least 18 years old, reside in Malaysia, and are not
disqualified under Section 198 of the Companies Act 2016.
If you are a foreigner who is not residing in Malaysia, you will need to partner with at least 1
director who resides in Malaysia to register your company.
A Sdn Bhd (Sendirian Berhad) is a private company limited by shares where its shareholder(s)’
liability is limited to the amount of shares held. It is a separate legal entity with full
capacity to carry on or undertake any business or activity including to sue or be sued, manage
property, and carry out transactions.
Only 1 director, who may also act as the sole shareholder of the company, is needed in order to
incorporate a Sdn Bhd.
The minimum paid-up capital of a Sdn Bhd is RM1.
Yes, you can. However, every company needs to have at least 1 director with ordinary residence
in Malaysia. That can be yourself or a person residing in Malaysia. If you’re the sole director
of the company and you are not a Malaysian citizen, we may request for your visa details.
While ‘switching’ your business entity is not possible as they are of different nature, you can
incorporate a new Sdn Bhd and run the business as a new company before terminating the existing
enterprise, partnership or LLP.
According to Section 236 of the Companies Act 2016, all Sdn Bhd must appoint a company secretary
within 30 days from its date of incorporation. If you incorporate your Sdn Bhd through
Boss Boleh, Boss Boleh will automatically appoint your company secretary.
Besides assisting you with company registration, a company secretary is also responsible for:
- Making sure the information of the company, director(s) and shareholder(s) are kept up-to-date.
- Advising the company on compliance to various laws and regulations such as the Malaysian Companies Act 2016.
- Lodging annual return and financial statements.
- Keeping meeting minutes and written resolutions of board meetings.
- Handling the striking off or winding up of the company.
- Providing CTC documents for opening a bank account, grant application, etc.
No, your company’s registered address is not necessarily the same as its business address. A
company’s registered address is usually where the company secretary’s office is located, which
is open and accessible to the public during ordinary business hours. This is where all company
documents, as ordered by the Companies Act 2016, need to be kept.
You may operate your business at any other address, which would then constitute as your business
address.
Unfortunately, no. According to the Companies Act 2016, there must be at least 1 director who
ordinarily resides in Malaysia in order to register a Sdn Bhd. This can be yourself or other
directors of the business.
Unfortunately, no. A new Sdn Bhd cannot use the same name as any existing business entity even
if they are owned by the same person. Any company name that may be confused with another
company’s that exists in the system is not allowed.
Yes, you can. However, there is a holding period of 2 years before the existing Sdn Bhd name can
be re-used by a new entity.

Yes, it is completely legal. Our company secretaries are licensed and compliant with the
requirements set by the SSM. In fact, the SSM encourages online company registration through the
official MyCoID portal. With Boss Boleh, you do not have to register by yourself, nor will you
have to visit the SSM counter for identity verification purposes.
Here’s an overview of the entire online process of Sdn Bhd registration through Boss Boleh,
which can be done either through our website or mobile app:
- Create a Boss Boleh account.
- Fill in and submit the company incorporation form.
- Make the payment for the company incorporation fee and monthly company secretarial fee.
- Receive an email to verify your identity (all directors and shareholders will receive this email).
- Receive the notice of registration, Superform14, and the certificate of registration through email and the Boss Boleh app.
It takes 3 – 5 working days to register your Sdn Bhd, subject to approval by the SSM.
It is advisable to prepare the following details before filling in the company incorporation
form:
Company details:
- Proposed business names and their meanings.
- Business nature and detailed description.
- Business address and contact details.
- Paid-up capital.
- Number of shares to be issued.
Director(s) and shareholder(s) details:
- Name and IC/Passport details.
- Address and contact details.
- Role of director(s).
- Number of shares for each shareholder.

visiting a SSM counter, or managing any paperwork. The Boss Boleh Sdn Bhd registration flow is
fully online— from filling in the form to making payment and identity verification— everything
can be done from the convenience of your home.
Besides, you can access your company documents through the Boss Boleh app and get various
business deals that can help facilitate your business growth. In the future, accounting and
payroll management system will be integrated into the app as well.
After receiving the notice of registration, certificate of registration, and Superform 14, we
will email all directors to electronically sign the first board resolution and the letter of
company secretary appointment. After that, we can proceed with opening a business bank account.
Most company documents (except CTC documents) can be signed electronically. The documents such
as the board resolution will be sent to you for electronic signature through email. Electronic
signature is enforceable according to the Electronic Commerce Act 2006.

Unfortunately, no. Boss Boleh is automatically appointed as your company secretary when you
register your Sdn Bhd through our website or app.
After creating a Boss Boleh account and submitting the company incorporation form, you can
access your company dashboard via the Boss Boleh app which is available on App Store and Play
Store. You will get push notifications on the status of your company registration through the
app.
Other company secretarial services

After your Sdn Bhd is registered, with Boss Boleh appointed as the company secretary, we will
prepare all documents required and a banker will schedule an appointment with you to open a
business bank account.
Yes, you can. Please contact us if you are interested to appoint Boss Boleh as your company

You may make the request by contacting us.
It may take 3 – 5 working days to process the Certified True Copies (CTCs). Hence, it is
advisable to request for the documents you need in advance.
Unfortunately, due to requirements set by the SSM, registration of business (enterprise and
partnership) and LLP cannot be done fully online. An in-person visit to the SSM counter is
required for all first-time registrations of businesses and LLP.

Pricing & fees
Boss Boleh charges RM1,998 of Sdn Bhd incorporation fee and RM200 of monthly company
secretarial fee. More information on the pricing can be found on our Pricing Page.
The Sdn Bhd incorporation fee of Boss Boleh is inclusive of the following:
- Company registration of your Sdn Bhd.
- The statutory fee to be paid to the SSM (worth RM1,010), which is paid on your behalf.
- Name search & availability check.
- Assistance in opening a bank account.
- The certificate of incorporation.
- The first board resolution.
- Access to the Boss Boleh app.
The monthly company secretarial fee of Boss Boleh is RM200 per month.
The monthly company secretarial fee of Boss Boleh is inclusive of the following:
- The appointment of a licensed company secretary for your Sdn Bhd.

- All standard board resolutions.
- Free 10 Certified True Copies per month.

Each month, you can get up to 10 Certified True Copies (CTCs) without additional charges.
Standard resolutions are also included in our fee. However, if we need to pay statutory fees to
the SSM for any particular exercises, there will be additional charges.
Refunds are allowed within 1 year before submission to SSM with a RM500 administrative fee, but payments become non-refundable and will be forfeited after 1 year.
Boss Boleh’s monthly company secretarial fee is charged automatically to your credit or debit
card each month.
Unfortunately, no. It is a requirement to have an appointed company secretary at all times to
operate a Sdn Bhd. However, you may appoint other service provider as your company secretary,
though we would be sad to see you leave.
All company documents kept in the Boss Boleh app can be downloaded without any additional
charges.

can get access to the Boss Boleh app which is available on the App Store and Play Store.
Yes, absolutely. Your Boss Boleh account is encrypted and only the directors of the company
have access to the company documents by logging in to their Boss Boleh accounts.
If your company documents are not showing in the app, it could mean that we are still in the
midst of processing the documents. Please check back later or contact us if you have any
questions.
All company documents such as forms and resolutions will be made available through the
Boss Boleh app. Some basic ones are:
- Notice of registration.
- Certificate of incorporation.
- Superform 14.
- The first board resolution.
- Notification of company secretary appointment (Form 58&236(2)).
You will get notified regarding the status of your company registration through push
notifications from the Boss Boleh app. Reminders on important statutory dates will be sent
through push notifications as well.
Only Boss Boleh clients who have submitted the company incorporation form can get access to
the Boss Boleh app. If you have forgotten your login credentials, please tap on “Forget
password” on the login screen of the app to obtain an email to reset your password.
You will receive an email to reset your password by tapping the “Forget password” on the login
screen of the Boss Boleh app.
Yes. All company documents in the Boss Boleh app can be downloaded to your phone.
Yes. While the company documents will be kept in your Boss Boleh account and can be accessed
through the Boss Boleh app, a copy of the company documents is sent to all directors.
No. All information is stored on the cloud and a copy of each company document is sent to all
directors. As long as you have access to your Boss Boleh account, you can still access all
company documents if you re-install the app. Boss Boleh also keeps all the documents in
storage for up to 7 years.
We feature a variety of business deals exclusive to Boss Boleh’s clients, ranging from hiring
